Section 1. Name.
The name of the Association is: “Latvian baseball federation”.
Section 2. the objective of the association.
2.1. The Latvian baseball federation (hereinafter – Federation) is a sport association, where its members have united for jointly and equally to realize the objective of association – to facilitate development of baseball as amateur sport activity in Latvia, organizing sport events, attracting children and youth, and managing other activities, that would facilitate development of federation and baseball in Latvia.
Section 3. Preconditions for the entering into and removal from membership.
3.1. Any legal entity interested in facilitating activities of Federation can become a member of the Federation.
3.2. To become the member of the Federation, legal entity must submit a certain Application to the Executive Board of Federation. The application form is developed by the Executive Board of Federation and accepted by the Meeting of the Members. The Executive Board summarizes the documents and submits them to the Meeting of the Executive Board for revision within one week.
3.3. The Executive Board must revise the application in the closest meeting but not later than two weeks from the moment of receiving all the necessary documents. The applicant must be invited to the Meeting of the Executive Board that revises the application and he must be enabled to express his opinion. Absence of the applicant is not an obstacle for making a decision of the Executive Board. The decision is made by secret ballot. The Executive Board must inform the applicant with motivation for this decision within one week of the acceptance of decision.
3.4. The decision of the Board may be disputed to the General Meeting of the Members. If the General Meeting of the Members declines the application, the applicant is not accepted as the Member of the Federation and he may apply repeatedly after period of one year.
3.5. If the Executive Board or General Meeting of the Members has decided to admit the applicant as the Member of the Federation, the New Member must pay the entering fee in the amount and order specified by the Executive Board.
3.6. The Member of the Federation may be excluded for the following infringements:
3.6.1. default of the decisions of the Executive Board;
3.6.2. default of the undertaken liabilities;
3.6.3. other activities conflicting these Articles of Association.
3.7. The Executive Board revises the question regarding exclusion of the Member of the Federation in the closest meeting, inviting the member to whom it concerns and enabling him to express his opinion. The absence of the Member is not an obstacle for making the decision of the Executive Board. The Executive Board makes decision by secret ballot. The Executive Board must inform the Member in writing regarding his or her exclusion from the Federation and the motivation for this decision.
3.8. The decision of the Executive Board may be disputed to the General Meeting of the Members.
3.9. The Member may withdraw from the Federation at anytime by submitting a notification in writing to the Executive Board of the Federation.
3.10. Apart from the provisions of the Articles Of Association the Member may be excluded from an association if there is an significant cause therefor. In any case, the blatant infringement of the Articles Of Association or the commitment of significant harm to the Federation shall be considered as a significant cause.
3.11. The amount of the Membership Fee is determined by the Executive Board at the beginning of each calendar year.
Section 4. The rights and duties of Members.
4.1. The Members of the Federation has the rights to:
4.1.1. participate in the administration of the Federation in accordance with the procedures specified in the Articles Of Association;
4.1.2. to receive an information of activities of the Federation, to familiarise with all protocols, decisions and instructions of the Federation institutions;
4.1.3. to take part in all organized events of Federation, to submit proposals of activities of the Federation and improvements, to maintain his or hers opinion.
4.1.4. to take part in other democratic civil organizations;
4.1.5. to withdraw from the Federation by submitting a notification in writing to the Executive Board.
4.2. The duties of the Members of the Federation are:
4.2.1. to take into consideration the Articles of Association and to perform the decisions of the General Meeting of the Executive Board, the Executive Board.
4.2.2. to pay the Membership Fee regularly.
4.2.3. to actively support the realization of the goals and aims of the Federation
4.2.4. to highly respect the good name of the Federation not allowing activities destroying the reputation of the Federation.
5. The procedures by which the rights and duties of a territorial or another division may be laid down
5.1. The Federation may have its own territorial or other organisationally independent divisions. Divisions of an association are not legal entities. The Federation may determine the rights and obligations of territorial or other organisationally independent divisions.
5.2. The rights, obligations and other rules necessary for activities of territorial or other organisationally independent divisions, are determined in the regulations of the corresponding division, affirmed by the General Meeting of the Federation.
5.3. The activities of territorial or other organisationally independent divisions are ruled by the Board of the Federation or authorised person.
6. The procedures for the calling of a meeting of members and the taking of decisions;
6.1. The highest administrative body of the Federation is the Meeting of the members meeting (general assembly).
6.2. The regular Meeting of the Members is convened as necessary, but not rarer than once a year.
6.3. The extraordinary Meeting of the Members is convened by request of the Board or Auditor not later than one month before receiving such request.
6.4. The Executive Board shall convene a The Meeting of the Members immediately (without undue hesitation) if so requested in writing, indicating the reason for the convening, by not less than one tenth of the members.
6.5. The Board specifies the time, place and the agenda, considering requirements of the application.
6.6. The Executive board must notify the Meeting of the Members in writing, by phone or otherwise, so that the Members of the Board receive the information not later than one week before convening the Meeting of the Members, if a longer period of time has not provided for in the law.
6.7. The Meeting of the Members is opened by the Chairperson of the Executive Board. In exclusive cases Meeting of the Members may be opened by the initiating person or authorises person. Person that has opened the Meeting chairs it until electing the Chairperson of the Meeting of the Members.
6.8. At the beginning of the Meeting of the Members a minute-taker shall be elected (drafting committee and teller – if necessary), the agenda and regulations are discussed, accepted or rejected.
6.9. The Chairperson of the Meeting of the Members must precise especially clearly the regulations and the decidable matters dividing in the cycles of the Meeting of the Members, so that the agenda of the Meeting is not overloaded.
6.10. The quorum of the Meeting of the Members shall be not less than one-half of the members present at the Meeting of the Members. If the Meeting of the Members does not have the right to take a decision in accordance with Paragraph one of this Section, the Executive Board shall again convene the Meeting of the Members with the same agenda not later than within three weeks. The convened Meeting of the Members is entitled to take decisions notwithstanding the number of members present, but only in such case if at least two members participate in the Meeting of the Members.
6.11. A decision of the Meeting of the Members shall be taken if more than half of the members present vote in favour thereof, unless a greater number of votes is prescribed in law.
6.12. Each member has one vote in the Meeting of the Members. A member shall not have a right to vote if the Meeting of the Members is deciding on the entering into of a transaction with such member or the bringing of an action or the termination of a matter against such member.
6.13. The Meeting of the Members shall be held openly unless ½ of the Members of the Federation takes a motivated decision regarding other procedures for the course of a meeting.
6.14. If in convening the Meeting, the provisions of the law or the articles of association on the procedures and terms for the convening of the Meeting have been violated, the Meeting of the Members is not entitled to take decisions except for cases if all of the Members are present at The Meeting of the Members.
6.15. The course of The Meeting of the Members shall be recorded in the minutes. The minutes shall be signed by the Chair of the Meeting and by the Minute-Taker.
6.16. The minutes shall be signed by the Chair of the Meeting and by the Minute-Taker. The Minutes of the Meeting are available documents to the Members. They are held at the Federation files at the location of the Board. Each member has the rights to request the transcript, copy or extract of the document. If necessary the Minutes of the Meeting must be registered at the appropriate state register.
6.17. Competence of The Meeting of the Members:
6.17.1. making of amendments to the Articles Of Association;
6.17.2. election and recall of the executive board and audit institutions;
6.17.3. taking of a decision regarding the termination, continuation or reorganisation of the activities of the association;
6.17.4. other matters which under the law or the articles of association are in the competence of The Meeting of the Members.
6.18. The Meeting of the Members has the right to take also such decisions which are within the competence of the executive board or other bodies provided for in the Articles Of Association.
Section 7. The Administrative Body
7.1. Permanently operating Administrative body of the Federation is the Executive Board. The Executive Board directs and represents the Federation.
7.2. The Executive Board consists of four Members of the Board – the Chairperson of the Executive Board (the President of the Federation), the Deputy of the Chairperson of the Executive Board (the Vice-President of the Federation), the Member of the Executive Board (the Executive Director of the Federation) and the Member of the Executive Board. The Members of the Executive Board has the rights to represent the Foundation separately.
7.3. The Executive Board of the Federation is elected in the Meeting of the Members for one year. The Meeting of the Members elects the Chairperson of the Executive Board from among the Members of the Executive Board.
7.4. The Executive Board:
7.4.1. shall ensure the execution of the decisions of the Meeting of the Members;
7.4.2. shall oversee and manage the affairs of an association;
7.4.3. shall manage the property of the association and dispose of the funds thereof in accordance with the Articles Of Association and decisions of a the Meeting of the Members;
7.4.4. prepares offers for changes in the activities of the Federation;
7.4.5. prepares and enters into agreements;
7.4.6. manages other activities necessary for the Federation.
7.5. The Meetings of the Executive Board are convened by: President, Vice-President or Executive Director. A quorum of an Executive Board shall be not less than one-half of the members of the Executive Board present at a Meeting. The decision of the Executive Board shall be taken by a simple majority of votes of the Executive Board Members present.
7.6. Minutes shall be taken at Executive Board Meetings. The decisions taken shall be mandatorily recorded in the minutes, indicating the vote of each Board member separately for each decision with an entry “for” or “against”
7.7. The Executive Board Member’s right to receive remuneration is taken by the decision of the Meeting of the Members. If a person receives a remuneration (recompense) for activities in the Federation, such remuneration (recompense) is determined according to the amount of duties and financial state of the Federation.
7.8. An executive board member may request the covering of such expenses, which have arisen in the course of execution of his or her duties.
Section 8. The office of audit institution of economic and financial activity.
8.1. The control of the activities of the Federation is managed by auditor, elected by the Meeting of the Members for one year.
8.2. The auditor of the Federation may not be the Member of the Fedration.
8.3. The auditor of the Federation:
8.3.1. performs revision of the documentation, possessions and finances of the Federation;
8.3.2. gives reference on activities of the Executive institutions;
8.3.3. gives reference on the budget of the Federation and annual report;
8.3.4. revises the activities of accountancy and record keepings of the Federation;
8.3.5. advises on improving the activities of the Financial institutions of the Federation;
8.3.6. performs other matters assigned by the Meeting of the Members.
8.4. The auditor performs the revision within the terms specified in the Meeting of the Members, but not rarer than once a year.
8.5. The Meeting of the Members can not accept the annual report and balance of the Federation without the opinion of the auditor.
Section 9. Obtaining and disposing the Financial Resources.
9.1. The Resources of the Federation are:
9.1.1. entrance and Membership fees of the Members;
9.1.2. donations of Legal entities and physical persons;
9.1.3. income from commercial (business) activities;
9.1.4. purpose payments of members and other persons for financing achievement of special goals of Federation;
9.1.5. other allowed income.
9.2. The resources of the Federation in accordance with the decision of the Meeting of the Members or Executive Board are used for:
9.2.1. achieving the goals and fulfilling the obligations;
9.2.2. covering the membership fees of participation in international baseball organizations;
9.2.3. purchase of sport equipment, sport inventory and sport clothing for needs of National teams of all age groups;
9.2.4. payment of rent of sport field and premises;
9.2.5. organising office premises and purchase of office inventory;
9.2.6. covering expenses of fuel, telecommunications and facilities;
9.2.7. constructing, building and settling of the baseball field and stadium and maintaining and managing.
9.2.8. covering expenses of rent of transport, insurance, feeding, hostels, hotels, tickets and travel expenses;
9.2.9. organizing children and youth sport camps;
2.9.10. organizing and hosting international and home championships;
2.9.11. receiving guest teams, covering feeding and hotel costs;
2.9.12. sending referees and trainers to international seminars and courses;
2.9.13. translating, preparing, imprinting and publishing informative materials;
2.9.14. payment of baseball commercials;
2.9.15. establishing, maintaining and paying for baseball home page;
2.9.16. hiring the Members of the Executive Board and employees;
2.9.17. covering other expenses, connected with activities of the Federation.
9.3. The Executive Board is responsible for the use of the resources of the Federation, the auditor – for the control.
10. Final provisions.
10.1. The Termination of Activities, Liquidation or reorganisation shall be carried out in accordance with the existing laws, according to provisions specified in the Articles of Association, decisions of the Meeting of the Members and Executive Board.
